Kozhikode: Malabar Gold & Diamonds has received approval from the Competition Commission of India (CCI) to merge 51 group companies into its flagship entity, marking a significant step in streamlining its corporate structure and strengthening operational control.
The consolidation brings multiple jewellery-focused entities under Malabar Gold & Diamonds, enabling the group to centralize operations across manufacturing, retail, wholesale, distribution and franchising. The move is aimed at creating a more agile and unified organization as the company scales its footprint in India and overseas markets.
Confirming the development, the CCI stated that “the proposed combination envisages the merger of 51 Malabar Group companies (transferor companies) with Malabar Gold & Diamonds (transferee company).” The regulator noted that most of the merging entities are engaged in the jewellery business.
With the flagship company already operating across the entire value chain—from sourcing and manufacturing to retail, export and distribution—the merger is expected to improve coordination across functions while simplifying administrative layers.
From a business standpoint, the restructuring is designed to enable faster decision-making, optimize resource allocation and enhance governance standards. For a large-format, multi-market retailer like Malabar, a unified structure is likely to support sharper execution, particularly as competition intensifies in organized jewellery retail.
The approval comes alongside the company’s ongoing expansion drive. Earlier this year, Malabar Gold & Diamonds announced an investment of Rs 1,580 crore to open 20 new showrooms across India, targeting both metros and high-growth Tier II and Tier III markets, in an accelerated 20-day rollout. The consolidation is expected to complement this growth by aligning backend operations with front-end retail expansion.
While the CCI’s detailed order is awaited, the approval signals regulatory comfort with the internal restructuring, which is not expected to alter market competition dynamics but rather improve internal efficiencies.
